TERMS OF SERVICE

Please read these Terms of Service ("Terms") carefully before using Valuesider (Valuesider). These Terms govern your access to and use of our investment fund screening and portfolio tracking platform. Valuesider is operated by Valuesider LLC ("we", "us", or "our").
1. ACCEPTANCE AND ELIGIBILITY
1.1 Agreement to Terms
By accessing or using Valuesider, you agree to be bound by these Terms, our Privacy Policy, and our Disclaimer. If you do not agree to these Terms, you may not use the platform.
1.2 Age requirement
Valuesider is intended for users aged 18 and older. By using the platform, you represent and warrant that you are at least 18 years old. If you are under 18, you may not create an account or use the platform.
1.3 Authority
You represent that you have the legal authority to enter into these Terms on behalf of yourself or any entity you represent.
2. ACCOUNT REGISTRATION AND SECURITY
2.1 Account creation
To access certain features of the platform, you must create an account. You agree to:
• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Verify your email address (required before accessing the platform)
• Keep your password secure and confidential
• Accept responsibility for all activity under your account
• Notify us immediately of any unauthorized access or security breach
2.2 Email verification
Email verification is mandatory. Unverified accounts will be automatically deleted after 2 days. You must verify your email address within this period to maintain access to your account.
2.3 Authentication methods
You may authenticate using:
• Email and password (with optional multi-factor authentication)
• Social login via Google, LinkedIn, or X (formerly Twitter)
You are responsible for maintaining the security of all authentication methods linked to your account.
2.4 Account security
We strongly recommend enabling multi-factor authentication (MFA) for enhanced account security. You acknowledge that failure to secure your account may result in unauthorized access, for which we are not liable.
2.5 One account per person
You may only create and maintain one account. Multiple accounts by the same person are prohibited and may result in account termination.
3. SUBSCRIPTION PLANS AND BILLING
3.1 Subscription tiers
Valuesider offers multiple subscription tiers:
• Basic (Free) - Limited access to platform features
• Premium - Enhanced features with monthly or annual billing
• Elite - Full platform access with monthly or annual billing

3.2 Payment processing
All payments are processed by Paddle.com, our Merchant of Record, which handles checkout, billing, taxes, and refunds on our behalf. By subscribing to a paid plan, you agree to Paddle's terms and authorize Paddle to charge your payment method. We do not directly store or process your credit card information.
3.3 Billing and auto-renewal
Paid subscriptions automatically renew at the end of each billing period (monthly or annual) unless you cancel before the renewal date. You will be charged the then-current subscription rate for your plan.
3.4 Price changes
We may change subscription prices at any time. Price changes for existing subscriptions will take effect at the next renewal period. We will notify you of price changes in advance.
3.5 Cancellation
You may cancel your subscription at any time through your account settings or billing portal. Cancellations take effect at the end of the current billing period. You will retain access to paid features until the end of the paid period.
3.6 No partial refunds
When you cancel your subscription, you will not receive a refund for the remaining portion of the current billing period. Access continues until the period ends.
4. REFUND POLICY
4.1 14-day money-back guarantee
If you are not satisfied with your paid subscription, you may request a full refund within 14 days of your initial purchase. Refund requests must be submitted through our support system.
4.2 Renewals
The money-back guarantee applies to initial purchases only. Renewal charges are generally not refundable, but if you were charged for a renewal you did not intend, contact us promptly and we will review your request on a case-by-case basis.
4.3 Processing
Approved refunds are issued by Paddle, our Merchant of Record, to your original payment method and may take 5-10 business days to appear in your account, depending on your payment method and financial institution.

5. SERVICE DESCRIPTION
5.1 Platform purpose
Valuesider is an investment research and educational platform that provides:
• Access to SEC 13F filing data and fund holdings information
• Portfolio tracking and analysis tools
• Investment fund screening and filtering capabilities
• Historical fund performance data
• Alerts and watchlist functionality
• Educational resources and research tools
5.2 Not financial advice
The platform is for informational and educational purposes only. We do not provide financial, investment, tax, or legal advice. See our Disclaimer for complete details.
5.3 Data sources
Data on the platform comes from public sources, including SEC filings and third-party providers. While we strive for accuracy, we do not guarantee the completeness, accuracy, or timeliness of any data. See our Limitations & Caveats for data limitations.
6. USER RESPONSIBILITIES AND ACCEPTABLE USE
6.1 Lawful use
You agree to use the platform only for lawful purposes and in accordance with these Terms. You will not use the platform:
• In any way that violates applicable laws or regulations
• To transmit or store illegal, harmful, or offensive content
• To impersonate any person or entity
• To interfere with or disrupt the platform or servers
• To attempt to gain unauthorized access to any systems or data
6.2 Accurate information
You agree to provide accurate information when using the platform, including when registering, subscribing, or submitting support requests.
6.3 Personal use
Your account is for your personal use only. You may not share your account credentials or allow others to access your account.
7. PROHIBITED ACTIVITIES
You expressly agree not to:
• Use bots, scrapers, or automated tools to access, download, or harvest data from the platform
• Engage in screen scraping, data mining, or systematic data extraction
• Reverse engineer, decompile, or disassemble any part of the platform
• Circumvent any access restrictions, rate limits, or security measures
• Resell, redistribute, or commercialize platform data or features
• Use the platform to compete with Valuesider
• Overload, spam, or attempt to disrupt the platform
• Remove, obscure, or alter any proprietary notices or branding
• Create derivative works based on the platform or its content
• Use the platform in any manner that could damage our reputation
Violation of these prohibitions may result in immediate account termination and permanent ban.
8. USER-GENERATED CONTENT
8.1 Content you submit
You may submit content to the platform, including:
• Fund requests for funds not yet in our database
• Support tickets and messages
• Profile information and preferences
• Filter presets and custom configurations
8.2 Ownership
You retain ownership of content you submit. However, by submitting content, you grant Valuesider a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display your content as necessary to provide and improve the platform.
8.3 Content standards
You agree that your content will not:
• Violate any laws or regulations
• Infringe intellectual property rights
• Contain malware, viruses, or harmful code
• Be defamatory, obscene, or offensive
• Contain personal information of others without consent
8.4 Content removal
We reserve the right to remove any content that violates these Terms or that we deem inappropriate, without notice.
9. INTELLECTUAL PROPERTY RIGHTS
9.1 Our intellectual property
All content, features, and functionality of the platform, including but not limited to text, graphics, logos, icons, images, data compilations, software, and the overall "look and feel" are owned by Valuesider or its licensors and are protected by copyright, trademark, and other intellectual property laws.
9.2 Limited license to you
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the platform for your personal, non-commercial use.
9.3 Permitted data sharing
You are granted permission to publicly reference or display Valuesider data in your personal articles, blog posts, videos, or educational content, provided that:
• You provide clear attribution to Valuesider
• You do not misrepresent the source or accuracy of the data
• The use is for educational or informational purposes
• You do not commercialize or resell the data
9.4 Restrictions
Except as expressly permitted in Section 9.3, you may not:
• Copy, modify, distribute, or create derivative works from platform content
• Use platform content for commercial purposes without written permission
• Remove or alter copyright, trademark, or other proprietary notices
• Download or export data in bulk
• Frame or mirror any part of the platform
10. THIRD-PARTY SERVICES
10.1 Third-party integrations
The platform integrates with third-party services including:
• Paddle (Merchant of Record — payment processing)
• Google, LinkedIn, X (social authentication)
• Amazon Web Services (file storage)
• Google Analytics (usage analytics)
• Cloudflare (security and performance)
10.2 Third-party terms
Your use of third-party services is subject to their respective terms and privacy policies. We are not responsible for third-party services or their practices.
10.3 No endorsement
Integration with third-party services does not constitute endorsement of those services.
11. SERVICE AVAILABILITY AND MODIFICATIONS
11.1 Service availability
We strive to provide reliable service but do not guarantee that the platform will be available at all times or error-free. The platform may be unavailable due to maintenance, updates, technical issues, or circumstances beyond our control.
11.2 Modifications
We reserve the right to modify, suspend, or discontinue any part of the platform at any time, with or without notice. We are not liable for any modification, suspension, or discontinuation of the platform.
11.3 Updates
We may release updates, patches, or new versions of the platform. Your continued use of the platform after such updates constitutes acceptance of the updated platform.
12. ACCOUNT SUSPENSION AND TERMINATION
12.1 Termination by you
You may terminate your account at any time through your account settings or by contacting support. Upon termination, your access will end, and your data will be handled according to our Privacy Policy.
12.2 Termination by us
We may suspend or terminate your account immediately, without notice, if:
• You violate these Terms
• You engage in prohibited activities
• Your account remains unverified after 2 days
• We suspect fraudulent, abusive, or illegal activity
• We receive valid legal requests requiring termination
• You engage in conduct that damages Valuesider or its users
12.3 Effect of termination
Upon termination:
• Your right to access the platform immediately ceases
• You remain liable for any outstanding payment obligations
• No refunds will be provided for unused subscription time
• Sections of these Terms that by their nature should survive will survive termination
12.4 Account bans
Serious or repeated violations may result in a permanent ban, preventing you from creating new accounts or accessing the platform.
13. PRIVACY AND DATA PROTECTION
Your use of the platform is subject to our Privacy Policy, which explains how we collect, use, store, and protect your personal information. By using the platform, you consent to our privacy practices as described in the Privacy Policy.
14. DISCLAIMERS AND WARRANTIES
14.1 Disclaimer incorporation

14.2 "As is" and "as available"
THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, OR ACCURACY OF DATA.
14.3 No warranty of accuracy
We do not warrant that:
• The platform will be uninterrupted, secure, or error-free
• Data on the platform is accurate, complete, or current
• Defects will be corrected
• The platform is free from viruses or harmful components
• Results from using the platform will meet your expectations
14.4 Investment disclaimer
WE ARE NOT FINANCIAL ADVISERS. THE PLATFORM DOES NOT PROVIDE FINANCIAL, INVESTMENT, TAX, OR LEGAL ADVICE. ALL INVESTMENT DECISIONS ARE YOUR SOLE RESPONSIBILITY.
15. LIMITATION OF LIABILITY
15.1 No liability for damages
TO THE MAXIMUM EXTENT PERMITTED BY LAW, Valuesider AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO:
• Loss of profits, revenue, or business opportunities
• Loss of data or information
• Investment losses or poor investment performance
• Loss of use or interruption of service
• Cost of substitute services
• Personal injury or property damage
• Any other damages arising from your use of or inability to use the platform
15.2 Liability cap
IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS RELATED TO THE PLATFORM EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100 USD, WHICHEVER IS GREATER.
15.3 Jurisdictional limitations
Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.
15.4 Basis of the bargain
You acknowledge that these limitations are fundamental elements of the agreement between you and Valuesider and that we would not provide the platform without these limitations.
16. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless Valuesider and its officers, directors, employees, agents, affiliates, and service providers from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:
• Your use or misuse of the platform
• Your violation of these Terms
• Your violation of any rights of another person or entity
• Content you submit to the platform
• Your investment decisions based on platform information
We reserve the right to assume exclusive defense and control of any matter subject to indemnification by you.
17. DISPUTE RESOLUTION
17.1 Informal resolution
Before filing any formal dispute, you agree to contact us through our support form to attempt to resolve the issue informally. Most disputes can be resolved this way.
17.2 Governing law
These Terms are governed by and construed in accordance with the laws of Armenia, without regard to conflict of law principles.
17.3 Arbitration agreement
Any dispute arising from these Terms or your use of the platform shall be resolved through binding arbitration rather than in court, except that either party may bring a claim in small claims court if it qualifies. You waive any right to a jury trial.
17.4 Class action waiver
YOU AGREE THAT ANY ARBITRATION OR PROCEEDING SHALL BE CONDUCTED ON AN INDIVIDUAL BASIS AND NOT AS A CLASS ACTION, CONSOLIDATED ACTION, OR REPRESENTATIVE ACTION. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.
18. GENERAL PROVISIONS
18.1 Entire agreement
These Terms, together with our Privacy Policy and Disclaimer, constitute the entire agreement between you and Valuesider regarding the platform and supersede all prior agreements.
18.2 Modifications to Terms
We reserve the right to modify these Terms at any time. Material changes will be notified through the platform or by email. Your continued use after changes constitutes acceptance of the modified Terms.
18.3 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
18.4 Waiver
Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.
18.5 Assignment
You may not assign or transfer these Terms or your account without our written consent. We may assign these Terms without restriction.
18.6 No agency
These Terms do not create any agency, partnership, joint venture, or employment relationship between you and Valuesider.
18.7 Force majeure
We are not liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, or internet or utility failures.
18.8 Notices
We may provide notices to you via email, platform notifications, or by posting on the platform. You consent to receive electronic communications from us.
